Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the VocaDent service, including our website, APIs, and any associated software (collectively, the “Service”), operated by VocaDent, Inc. (“VocaDent,” “we,” or “us”).
By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
1. Eligibility
You must be at least 18 years old and have the legal authority to enter into a binding contract to use the Service. By using VocaDent, you represent and warrant that you meet these requirements.
2. Description of Service
VocaDent provides AI-powered phone call automation services, including automated voice agents, call routing, transcription, and analytics for businesses. We provision a dedicated phone number and AI agent on your behalf using third-party providers (ElevenLabs, Twilio).
The Service is provided “as is” and may be updated, modified, or discontinued at our discretion with reasonable notice to active subscribers.
3. Accounts
You are responsible for maintaining the security of your account credentials. You must notify us immediately at whudd2006@gmail.com if you suspect unauthorized access to your account. VocaDent is not liable for losses resulting from unauthorized account access due to your failure to secure your credentials.
4. Subscription and Billing
Free trial: New accounts receive a 14-day free trial. A valid payment method is required to start the trial. You will not be charged during the trial period.
Auto-renewal: After the trial, your subscription automatically renews on a monthly basis at the then-current plan price. Renewal charges are processed on the billing date using the payment method on file.
Cancellation: You may cancel at any time from your billing settings or by contacting us. Cancellation takes effect at the end of the current billing period. No refunds are issued for partial months.
Price changes: We will notify you by email at least 30 days before any price increase. Continued use of the Service after the change effective date constitutes acceptance of the new price.
Failed payments: If a payment fails, we will attempt to collect it over a dunning period. If payment is not collected within that period, your account may be suspended.
5. Acceptable Use
You agree not to use the Service to:
- Make or facilitate robocalls, spam calls, or unsolicited telemarketing in violation of applicable law (including TCPA)
- Impersonate a person or entity in a misleading or deceptive manner
- Violate any applicable federal, state, or local law or regulation
- Transmit or facilitate malware, phishing, or other harmful content
- Exceed your plan's call limits through automated or artificial means
- Resell or sublicense access to the Service without our written permission
Violations may result in immediate account suspension without refund.
6. Intellectual Property
The Service, including all software, design, text, and trademarks, is owned by VocaDent, Inc. and protected by intellectual property law. You may not copy, modify, distribute, or reverse-engineer any part of the Service.
You retain ownership of your data (call recordings, transcripts, business information) and grant us a limited license to process it solely to provide the Service.
7. Disclaimer of Warranties
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT ALL CALLS WILL BE SUCCESSFULLY HANDLED.
8. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, VOCADENT SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, LOST DATA, OR BUSINESS INTERRUPTION, ARISING FROM YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING FROM THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO VOCADENT IN THE THREE (3) MONTHS PRECEDING THE CLAIM.
9. Indemnification
You agree to indemnify and hold harmless VocaDent, Inc. and its officers, directors, employees, and agents from any claim, liability, damage, or expense (including reasonable attorneys' fees) arising from your use of the Service, your violation of these Terms, or your violation of any applicable law.
10. Termination
We may suspend or terminate your account at any time for violation of these Terms, non-payment, or for any other reason with reasonable notice. You may terminate your account at any time by canceling your subscription and deleting your account.
Upon termination, your access to the Service will cease. We will retain your data for up to 60 days after termination before deletion, subject to our Privacy Policy.
11. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles. Any dispute arising from these Terms shall be resolved by binding arbitration in accordance with the rules of the American Arbitration Association, conducted in English in the State of Delaware.
You waive your right to participate in a class action lawsuit or class-wide arbitration.
12. Changes to These Terms
We may modify these Terms at any time. Material changes will be communicated by email or dashboard notice at least 14 days before they take effect. Continued use of the Service after the effective date constitutes acceptance.
